Terms of Service

1. Acceptance of Terms

By accessing or using the Montblanc Aesthetics website, mobile applications, and services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you ("Customer" or "You") and Montblanc Aesthetics, LLC ("Company," "we," "us," or "our").

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a prominent notice on the Platform. Continued use following such notice constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are ordering on behalf of another individual, you represent that you have the legal authority to do so.

3. Ordering and Purchasing

The Platform allows customers to place orders for compounded medications and related products. By placing an order, you agree to the following:

• All product descriptions, pricing, and availability are subject to change without notice
• We reserve the right to refuse or cancel any order for any reason, including pricing errors, product unavailability, or suspected fraud
• Orders are subject to verification and acceptance by our pharmacy partners before shipment
• Products are offered for sale and delivery only in jurisdictions where their sale is lawful
• We are not a pharmacy or medical practice; all compounded medications are dispensed by licensed, FDA-registered compounding pharmacy partners

4. Compounded Medication Disclaimers

Products offered through the Platform include compounded medications prepared by licensed pharmacy partners. Important disclaimers apply:

• Compounded medications are NOT FDA-approved. The FDA does not verify the safety, effectiveness, or quality of compounded drugs
• Compounded medications are exempt from FDA pre-market approval requirements under Section 503A of the Federal Food, Drug, and Cosmetic Act (FDCA)
• Compounded medications may differ from commercially available brand-name products such as Wegovy, Ozempic, Mounjaro, or Zepbound
• Our compounding pharmacy partners operate in compliance with applicable state pharmacy board regulations and United States Pharmacopeia (USP) standards (USP <795>, <797>, and <800> as applicable)
• Compounded medications are intended for individual customer use and are not intended for resale

5. Account Registration

To place orders, you must create an account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Providing truthful and accurate information when placing orders

6. Payment Terms

By placing an order, you authorize us to charge the designated payment method for the total amount, including applicable taxes and shipping fees. All prices are displayed in USD. We use third-party payment processors to securely handle payment information. We do not store your full credit card number on our servers.

7. Subscription and Recurring Orders

Some products are offered on a subscription or recurring order basis. Subscription terms include:

• Billing Cycle: Subscriptions are billed at the frequency selected during checkout (e.g., monthly, quarterly)
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless canceled
• Price Changes: We reserve the right to change subscription pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance
• Recurring Shipments: Subscriptions are for product ordering convenience only and do not constitute an ongoing medical relationship

8. Shipping

We ship products to addresses within the United States where delivery is legally permitted. Shipping times and methods vary by product and destination. We are not responsible for delays caused by carrier issues, weather, or circumstances beyond our control. Risk of loss and title for items purchased pass to you upon delivery of the item to the carrier.

9. Returns and Refunds

Due to the nature of compounded medications, returns are generally not accepted once an order has been processed and shipped. Refund policies include:

• Compounded medications cannot be returned or exchanged once dispensed, due to safety and regulatory requirements
• If a product arrives damaged or defective, contact us within 7 days of receipt for a resolution
• Subscription cancellations made at least 48 hours before the next scheduled billing date will prevent the upcoming charge
• We do not offer prorated refunds for partially used subscription periods, except as required by applicable law

10. Cancellation of Subscriptions

You may cancel your subscription at any time by visiting your account settings or contacting our support team. Cancellation terms include:

• Cancellations must be made at least 48 hours before the next scheduled billing date to avoid being charged for the upcoming cycle
• Upon cancellation, you will retain access to already-shipped products
• We reserve the right to cancel any subscription at our discretion, with a refund for any unused portion

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONTBLANC AESTHETICS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS ("RELEASED PARTIES") SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF THE RELEASED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF THE RELEASED PARTIES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Platform or services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any false or misleading information you provide
• Any unauthorized use of your account

We reserve the right to assume exclusive defense of any matter subject to indemnification, and you agree to cooperate with our defense.

13. Dispute Resolution and Arbitration

13.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope and applicability of this arbitration agreement, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect.

13.2 Class Action Waiver

You agree that any arbitration shall be conducted on an individual basis only, and not as a class, collective, or representative action. You waive any right to participate in a class action, class arbitration, or any representative proceeding against us.

13.3 Exceptions

Either party may seek injunctive relief in a court of competent jurisdiction for disputes involving intellectual property rights or breach of confidentiality. You may also bring claims in small claims court if they qualify.

13.4 Governing Law and Venue

These Terms shall be governed by the laws of the State of Florida without regard to its conflict of law principles. Arbitration shall take place in Miami, Florida.

14. Intellectual Property

All content on the Platform, including text, graphics, logos, images, and software, is the property of Montblanc Aesthetics, LLC or its licensors and is protected by intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our prior written consent.

15. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive (including limitation of liability, indemnification, and dispute resolution) shall remain in effect.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Montblanc Aesthetics, LLC regarding your use of the Platform and services.
